Terms of Service

1) About Us

2) Scope & Acceptance

These Terms of Service (“Terms”) govern your access to and use of the Site and the purchase of products from us. By accessing, browsing, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and any policies referenced here (including our Privacy, Cookies, Shipping, Returns, Warranty, and Payments policies). If you do not agree, do not use the Site.

3) Eligibility & Business/Consumer Status

You must be 18+ (or the age of majority in your jurisdiction) and legally capable of entering into a binding contract. If you act on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
Where these Terms distinguish between consumers and business customers, your rights may differ. Business customers do not benefit from certain consumer protections (e.g., statutory cooling-off).

4) Accounts & Security

4.1 Registration. Certain features (including ordering) may require an account. You must provide accurate, current and complete information and keep it updated.
4.2 Credentials. You are responsible for keeping your login details confidential and for all activity under your account. Notify us promptly of any suspected unauthorized use or security breach.
4.3 Suspension. We may suspend or terminate accounts for breach, fraud, risk to other users, or legal/regulatory reasons.

5) Products, Availability & Condition

5.1 Product Types. Unless clearly stated otherwise, products are new. Any refurbished/open-box items will be labeled as such, with condition grades where applicable.
5.2 Images & Specs. Images are illustrative; minor variations may occur. Specifications, compatibility, and regional features (e.g., region locks, bands, chargers, plugs) must be checked by you before purchase.
5.3 Errors. We may correct errors or omissions (including in descriptions, pricing, stock) and update information without notice.

6) Orders & Acceptance

6.1 Offer & Confirmation. Your order is an offer to buy. We confirm receipt by email; acceptance occurs when we dispatch the product(s) or otherwise expressly accept.
6.2 Refusal/Cancellation. We may decline or cancel all or part of an order (e.g., stock issues, pricing mistakes, suspected fraud/KYC concerns, export restrictions). If payment was taken, we will refund the relevant amount.
6.3 Pre-Orders & Backorders. Estimated dispatch dates are indicative and may change. If delays are material, we will notify you and offer options (wait, change, or cancel with refund).

7) Pricing, Taxes & Duties

7.1 Prices & Currency. Prices appear in the currency shown at checkout and may change without notice.
7.2 Taxes. Prices may include or exclude VAT/sales tax depending on destination and checkout display. The final tax treatment is shown before you pay.
7.3 Import Charges. International shipments may be subject to import duties, taxes, and brokerage fees in the destination country. Unless we explicitly state DDP (Delivered Duty Paid), shipments are DAP/DDU and these charges are your responsibility.
7.4 Price Errors. If we discover a pricing error after you order, we may cancel/refund or invite you to reconfirm at the correct price.

8) Payment & Verification

8.1 Payment Methods. Accepted methods are those shown at checkout. By submitting a payment, you warrant that you are authorized to use that method.
8.2 Checks. We may run anti-fraud, credit, and KYC/AML checks and request additional information. We may refuse or refund transactions that fail verification.
8.3 Chargebacks. You agree to contact us first to resolve issues before initiating a chargeback where permissible.

9) Shipping, Delivery & Risk

9.1 Processing. Typical processing is 1–3 business days (excluding UK public holidays). Processing times may extend during peak periods or for high-demand items.
9.2 Methods & Coverage. We ship worldwide via reputable carriers. Available services, costs and estimated transit times are shown at checkout. Some items (e.g., with lithium batteries) may be subject to route/service restrictions.
9.3 Delivery & Risk. Risk of loss passes to you upon delivery to the address you provided (or upon handover per carrier proof). Title passes when we receive full payment.
9.4 Address Accuracy. You are responsible for accurate delivery details. Redelivery, return-to-sender, or address-change fees may apply if details are incorrect or delivery is refused/failed.
9.5 Damaged/ Missing in Transit. Contact info@zentriq.co.uk within 48 hours of delivery for damage (include photos of the outer box, inner packaging, and item) or within 7 days of the estimated delivery date for a potential loss so we can open a carrier investigation.
9.6 Split Shipments. We may deliver items in multiple parcels at no extra cost to you.

10) Right to Cancel (Consumers in UK/EEA)

10.1 Cooling-Off. For most online purchases, consumers have 14 days from delivery to cancel without giving a reason, then 14 days to return.
10.2 Condition. Items must be unused and returned complete with all accessories, manuals, and original packaging. You are responsible for return shipping unless we provide a prepaid label.
10.3 Exclusions (non-exhaustive).

• Digital downloads/activation keys once supplied;
• Personalized or customized goods;
• Sealed items not suitable for return for health/hygiene reasons once unsealed;
• Goods that, by their nature, become inseparably mixed with other items after delivery;
• Items used/installed beyond reasonable handling to establish nature/characteristics.
  10.4 Business Customers. No statutory cooling-off right applies to B2B purchases.

11) Returns, Refunds & RMAs

11.1 RMA. Obtain a Return Merchandise Authorization at info@zentriq.co.uk before sending items back. Unauthorized returns may be refused.
11.2 Inspection & Deductions. We may reduce refunds to reflect any diminished value resulting from improper handling, missing components, damage, or activation/usage.
11.3 Refund Method & Timing. Approved refunds are issued to the original payment method within 5–10 business days after receipt and inspection. Original shipping and any import charges are non-refundable unless we erred or the law requires otherwise.
11.4 Exchanges. Subject to stock availability.

12) DOA, Faulty Items & Warranties

12.1 DOA. If your item is dead on arrival (e.g., does not power on), contact us within 48 hours of delivery with evidence (photos/videos).
12.2 Faults. If a product is faulty or misdescribed, we will repair, replace, or refund according to applicable law and brand policy.
12.3 Manufacturer Warranty. Most electronics include a manufacturer’s warranty; coverage and regional validity vary by brand and model. We may direct you to an authorized service center where this is the fastest lawful remedy. Your statutory rights are not affected.

13) Software, Locks & Compatibility

13.1 Region/SIM/IMEI Locks. Some devices or features may be subject to regional/SIM/IMEI restrictions.
13.2 Carrier Bands/Power Plugs. Ensure network band and power-plug compatibility in your country/region. Adapters may be required.
13.3 Software & Updates. OS, firmware, and app availability/updates can vary by region and manufacturer policy. We are not liable for third-party software changes outside our control.

14) Prohibited Activities

You agree not to: (a) violate laws; (b) infringe IP rights; (c) access or probe the Site or related systems without authorization; (d) introduce malware or harmful code; (e) use bots/scrapers to extract data except as permitted by law; (f) interfere with the Site’s operation or security; (g) circumvent technical measures; or (h) use the Site to resell in violation of export/sanctions laws.

15) Intellectual Property

All content on the Site (text, graphics, logos, images, audio/video, software, and compilations) is owned by us or our licensors and protected by applicable IP laws. You may not reproduce, distribute, or create derivative works without our prior written consent, except as permitted by law.

16) User Content & Reviews

If you submit reviews, comments, questions, or other content (“User Content”), you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish and display such content in connection with the Service and our marketing. You represent that you own or control the rights to your User Content and that it is lawful, accurate, and non-infringing. We may moderate or remove User Content at our discretion.

17) Third-Party Services & Links

The Site may link to third-party websites or integrate services (e.g., payment providers, analytics, logistics). We are not responsible for their content, policies, or practices. Your use of third-party services is governed by their terms.

18) Export Controls & Sanctions

You must comply with all applicable export control, customs, and sanctions laws. You may not purchase for shipment to, or use by, prohibited end-users, countries, or end-uses. We may cancel orders that raise export/sanctions concerns.

19) Disclaimer of Warranties

Except as expressly stated, the Site and all content/products are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. This clause does not limit your statutory rights as a consumer.

20) Limitation of Liability

To the maximum extent permitted by law, we and our directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, loss of profits, data, goodwill, or business interruption, arising out of or relating to the Site or products. Our total aggregate liability for any claim is limited to the amount you paid for the product(s) to which the claim relates. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.

21) Indemnity (Business Customers)

To the extent permitted by law, business customers agree to indemnify and hold us harmless from claims, damages, costs, and expenses (including reasonable legal fees) arising from their misuse of the Site or breach of these Terms.

22) Force Majeure

We are not liable for any delay or failure to perform due to events beyond our reasonable control, including but not limited to acts of God, strikes, labor disputes, epidemics, war, sanctions, cyber incidents, or carrier disruptions.

23) Changes to the Service & Terms

We may modify, suspend, or discontinue any part of the Service. We may update these Terms from time to time; the effective date will be shown above. Continued use after an update constitutes acceptance.

24) Termination

We may suspend or terminate your access to the Site (in whole or in part) at any time, with or without notice, for breach or where required by law. You may stop using the Site at any time.

25) Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have non-exclusive jurisdiction to hear disputes, without prejudice to any mandatory consumer protections in your country of residence.

26) Entire Agreement & Severability

These Terms, together with referenced policies, constitute the entire agreement between you and us regarding the Service. If any provision is found invalid or unenforceable, the remainder remains in full force and effect.
